Legal Agreement: Terms of Service

I. Permitted Use

Your membership to our space and all related rights and privileges are, at all times, contingent upon you engaging exclusively in the permitted use of our space. All unlawful or illegal activities are prohibited. Business practices that seek to commit fraud, harass, intimidate, violate any applicable law, or similar behaviors are expressly prohibited. Any Coworker or business who engages in any prohibited activities will have their membership immediately terminated.

The LITE House reserves the right to pursue any and all damages to the fullest extent of the law in the event that a Coworker engages in a prohibited use within the coworking space or while using any coworking space amenity. The use of a coworking space amenity may include those listed or unlisted within this agreement or amenities that, at the time of this agreement, have not yet been introduced to the space.

 

II.      Privacy

The LITE House shall not engage in any disclosure of your information or information pertaining to your business for the purposes of any third-party solicitation or marketing.

The following exceptions apply:

  • The LITE House reserves the right to add your business name or personal name to the list of “Coworkers” which is publicly available on our website.
  • The LITE House may also send emails to you which advertise certain amenities or partnerships with outside parties.
  • The LITE House will cooperate to the fullest extent of the law with any legal or governmental proceeding or regulation which requires or requests the disclosure of information pertaining to you or your business.

 

 III. Community Policies 

All Coworkers, without exception, are required to comply with the Community Policies for the coworking space. The Community Policies are posted at The LITE House and may be updated and revised from time to time by Tennessee Wesleyan University doing business as The LITE House. Membership is contingent upon abiding by the Community Policies. Failure to do so may result in termination of membership at the sole discretion of The LITE House.  The LITE House reserves the right to change, revise, edit, or otherwise alter the policies at any time and for any purpose. Coworkers are solely and individually responsible for reading and understanding the most updated version of the Community Policies.

 

IV. Disclaimer of Warranties  

To the fullest extent permitted under all applicable laws, The LITE House provides our services on an “as is” condition and with all faults, and hereby disclaim any warranties whether express, implied or statutory, including, but not limited to, any warranties or conditions related to merchantability, fitness for a particular purpose, the accuracy of responses, results, workmanlike effort, and negligence. Further, no warranties are made which relate to duty or condition of title, quiet enjoyment or possession, non-infringement, or the like. The risk of quality and participation in the services provided are understood and assumed solely by the Coworker.

 

 V. Events

Coworkers may be permitted to use the space to host events sponsored by The LITE House approved events. Coworkers must inform The LITE House of their intent to host an event at least two (2) weeks prior to the date of the proposed event. Coworkers must provide all details of the proposed event to The LITE House. These details include, but are not limited to, the number of guests, the purpose of the event, event agenda, date and time or event, and any other details requested by The LITE House.

Coworkers understand that they may be required to obtain additional insurance for certain types or sizes of events. Coworkers are solely responsible for the behavior of their guests at events and retain all liability for the actions of their guests. Any property damage or injury resulting from an event remains solely with the Event Host and/or the Hosting Coworker.  The LITE House expressly disclaims any liability for events hosted by Coworkers within the coworking space. 

The LITE House reserves the right to refuse any event at the sole discretion of The LITE House. An event may be refused for misrepresentation of event details, purposes that do not align with the vision or mission of the space, events that are deemed improper for the physical space allotted, or other similar reasons. Event hosting is a privilege of the space and not a right of Coworkers to be exercised freely or without limitation.

 

VI. Private Property

Coworkers are responsible at all times for the safety and security of their personal property.  The LITE House cannot monitor Coworkers’ personal property within the coworking space. The LITE House is not responsible for missing or stolen items within the space. It is the responsibility of each Coworker to secure their workspaces and personal property and to exercise vigilance within the space.

Any Coworker who is found to have stolen or used another Coworker’s personal property without permission will have their membership terminated. All Coworkers should report to The LITE House when an item has been stolen within the space.

 

VII. Safety 

Coworkers are responsible for their safety and security inside and outside the coworking space. Any suspicious or threatening behavior should be reported immediately to The LITE House. The LITE House makes no assurances or representations with regards to the safety of the area surrounding the space.

  •  Coworkers should not permit access to unknown guests or share their key code to allow others to enter the building. 
  •  The interior door will be secured at all times and key code access will be required for entry. The exterior door will be open from 9 am – 5 pm – Monday – Friday.
  •  TWU Security Personnel will make visits to the space on their campus routes. If you need to contact TWU security for any reason, please call 423-887-3976. 
  •  In the event of an emergency, Coworkers should immediately contact the local authorities and remove themselves from any unsafe situation. In the case of an emergency, the Coworker should contact TWU security and then the director of The LITE House, Anne Montgomery at 423-507-7612
  •  Any Coworker who is deemed to have intentionally or neglectfully placed another Coworker’s safety in peril may be subject to membership termination at the discretion of The LITE House.

 

VIII. Prohibited Behavior 

Without exception, Coworkers are expressly prohibited from engaging in threatening, intimidating, harassing, or similar behaviors. Behavior that is intended to create fear in another Coworker or guest is not tolerated within the space. Reports of this behavior will be investigated by The LITE House and decisions to terminate or suspend membership will remain within the full discretion of The LITE House.

  • The LITE House is a non-smoking facility. Smoking inside the facility is strictly prohibited.
  • When using counter space, meeting rooms or other resources or areas of or in the facility it is required that you return them original configuration or condition or better once completed with use.
  • Storage of equipment or personal property is only allowed with the permission of the management of The LITE House will not be held responsible if such items are damaged or missing.

 

IX. Social Media

Coworkers of our space agree to be both respectful and professional towards our space, The LITE House, other Coworkers, guests, and businesses when sharing their views on social media. While complaints and grievances are welcome, they must be directed to The LITE House and not posted on social media. We believe that everyone within our space should have complaints addressed professionally and respectfully. In return, we insist that our Coworkers share their complaints professionally and respectfully. 

Social Media refers to any online presence, whether named or anonymous, which can be accessed by another user through an online source. Common forms of social media include Facebook, Reddit, Imgur, Instagram, Twitter, Yelp, and the like.

Sharing information regarding the coworking space, The LITE House, staff, Coworkers, or guests, which is deemed hateful, discriminatory, offensive, disrespectful, libelous, defamatory, or harmful to our proprietary interests, will result in consequences that may include expulsion and termination of membership. Tennessee Wesleyan University doing business as The LITE House reserves the right to pursue any and all legal remedies for such social media usage.

 

X. Guests 

Guests may visit the space during normal business hours. Guests must be accompanied by a Coworker and the Coworker is required to sign them in on arrival and out on departure at the front desk. It is the responsibility of the Coworker to ensure that the Guest is aware of our Community Policies and abides by them at all times while in the space. Coworkers are responsible for the behavior of their guests and assume all liability and risk associated with their guests visiting the space. If a guest is participating in regular use of the facility, they may be required to obtain an additional membership.

The LITE House reserves the right to refuse any guest or prevent a guest from using the space in the future. If a guest violates community policies during their time in the space, The LITE House reserves the right to expel them from the space.

 

XI. Internet Use

The use of the internet connection is both complementary and a privilege. This privilege can be taken away by the sole discretion of The LITE House for any unseemly or inappropriate behavior. This might include using the internet to: commit fraud or other illegal activities; harass or intimidate another party; excessive downloading that interferes with other Coworker’s connections; phishing scams; any malware related downloads; posting abusive comments related to the space, its staff, Coworkers, guests, or events; storing personal identification data of Coworkers without authorization; upload any virus-like material; knowingly infringe upon another’s intellectual property, or engage in misleading or misrepresentative behavior.

Any action deemed by The LITE House to be similar to the above-described behaviors may result in immediate disconnection and prohibition from space’s internet or in membership revocation.

 

XII. Governing Law

This Agreement, and any matter arising under or relating to it, shall be interpreted under the laws of the State of Tennessee. The Coworker agrees to be subject to the personal jurisdiction of the courts of the state court of McMinn County, Tennessee any matter relating to this Agreement.

 

XIII. Entire Agreement 

This Agreement, along with the policies referenced, incorporates the entire agreement between the Coworker and the coworking space.

 

XIV. Severability 

In the event that any provision of this Agreement is found to be invalid, void, or inoperable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

 

XV. Indemnification

The Coworker agrees to defend, indemnify, and hold harmless The LITE House, Tennessee Wesleyan University, its employees and agents, and the building landlord, Charles Scott Mayfield Jr., for all matters related to the coworking space.

 The Coworker agrees that this indemnification and hold harmless provision applies to the fullest extent of the law. The coworking space reserves the right to pursue any and all available and applicable remedies in law or equity.
